KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) advised the Munich-based technology group Rohde & Schwarz on its acquisitions of NEOSAT GmbH and PHYTRONIC GmbH.
NEOSAT GmbH, headquartered in Neubiberg near Munich with a development site in Dresden, was founded in 2018 at the University of the German Armed Forces in Munich and develops concepts for multi-antenna satellite systems, satellite-based IoT connectivity, and communications payloads. PHYTRONIC GmbH, founded in Dresden in 2023, specializes in waveform design for aerospace and avionics communication systems and develops solutions for secure communications in aviation, aerospace, and terrestrial sensor technology. Rohde & Schwarz is a globally active provider of solutions for test and measurement, secure communication systems, and radio and communication technologies, headquartered in Munich. With these acquisitions, Rohde & Schwarz is expanding its activities in technologically sophisticated, future-oriented fields of communications and defense technology.
KPMG Law provided comprehensive support for the transactions through a cross-office team, particularly in conducting legal due diligence, structuring the transactions, negotiating the share purchase agreements, and providing support through to the respective closings.
As part of the transactions, KPMG conducted both financial due diligence and tax due diligence and also provided advice on the tax aspects of the two share purchase agreements.
