Healthcare

Leveraging challenges and opportunities in healthcare markets.

With millions of employees and a high share of economic output, the healthcare industry is one of the most important economic sectors in Germany. At the same time, modern medical care for people and the economic burdens that go with it represent one of the greatest challenges of our time. The industry is characterized by an uncertain and at the same time emotional market environment combined with high expectations as growth drivers. Decision-makers in the healthcare sector are currently confronted with a whole range of issues.

These range – in addition to the constant changes in regulation – from demographic change with a simultaneous shortage of skilled workers and ongoing cost pressure to digital trends such as telemedicine, artificial intelligence and innovative collaborations.

Together with our colleagues at KPMG AG Wirtschaftsprüfungsgesellschaft, we combine our extensive industry knowledge with business expertise to help you master the challenges while taking advantage of the opportunities in the healthcare markets.

Consulting focus

  • Building law

With our multidisciplinary approach, we advise on the establishment of a suitable project structure for upcoming construction projects, including the choice of appropriate implementation models (single award, JV/GC models, partnering models, alliance contracts, IPD).

Furthermore, our range of consulting services also includes the awarding of project management, planning and construction services as well as the drafting and negotiation of corresponding contracts.

In addition, we assist our clients with legal advice during construction and supplementary management and also support them with our comprehensive expertise in construction monitoring and construction auditing.

  • Purchasing organization and public procurement law

Structuring and regular optimization of the entire procurement process is essential for successful purchasing organization. We advise companies on the conception, structuring and implementation of procurement projects and regulate procurement management, especially in connection with subsidies and grants under the KHZG.

We support companies in standardizing their purchasing organization by taking over the creation of procurement manuals and purchasing or procurement guidelines. In order to keep employees involved in the procurement process up to date at all times and to raise their awareness of procurement law pitfalls, we regularly offer know-how transfer in the form of training courses, seminars and seminars. These are gladly and actively used by our clients.

We offer you a special service for the implementation of award procedures with the award service 360 – a standardized, digitally based all-inclusive solution for the successful handling of award procedures.

In the event of legal protection proceedings, we will support you with our practice-oriented expertise and, if necessary, represent your interests in court.

  • Energy Law

We advise and support the implementation and operational management of decentralized energy generation models and the procurement of secure and cost-effective energy.

In addition, we also have many years of experience in optimizing the supply infrastructure.

  • Financing - advice on state aid law and advice on complex cooperation agreements

We can look back on many years of experience in advising clients on state aid law. Due to this comprehensive expertise, we are able to provide disputing support even for complex national as well as international cooperation agreements. We support you not only in the area of research and development in the preparation and negotiation of appropriate agreements.

In addition, our range of advisory services also extends to advice on the financing of investments of any kind, including services of general economic interest, as well as advice in connection with privatisations.

  • Challenges posed by digitalization, IT and data protection law

Digitization and the associated compliance with data protection regulations represent a critical and increasingly important concern for companies. With our multidisciplinary approach, we provide our clients with comprehensive advice on how to establish a data protection-compliant organization and conduct data protection reviews and assessments of research projects.

Furthermore, we support our clients in the conception and legal review of digital business models and draft contracts for the procurement and successful distribution of their IT products.

  • Structuring and transactions of health care facilities - market entry and establishment, cooperations, organization and reorganization

We provide comprehensive advice on all corporate law issues in the healthcare sector, in particular on the formation of companies, including institutions and corporations, taking into account public budget law and the Public Corporate Governance Code.

We advise you on the establishment and implementation of group structures, the acquisition and sale of healthcare facilities, as well as on mergers and the structuring of shareholdings, including (partial) privatizations and joint ventures. We have extensive expertise and many years of experience in due diligence for healthcare facilities and can assist you with market entries into the German and European healthcare systems.

In addition, we support you in the remunicipalization, reorganization and restructuring of healthcare facilities and conduct antitrust consultations and audits.

  • Contract management and software solutions

The advisory support and establishment of an actively operated contract management as well as a contract lifecycle management or a digitalized contract management for companies in the healthcare industry is another focus of our activities. Contract management is implemented on the basis of individually coordinated and modularly structured contract types that fulfill the respective legal requirements on the one hand and the various internal specifications on the other.
