KPMG Law is advising APELOS on the refinancing and acquisition of a practice group with around 50 practice locations.

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) advised APELOS Therapie GmbH, a leading therapy practice group in Germany, on the refinancing of the APELOS Group and on the acquisition of a practice group with around 50 practice locations.

The APELOS Group was founded in 2020 and has since expanded by acquiring therapy practices throughout Germany. The APELOS Group offers services in the areas of outpatient rehabilitation, physiotherapy, occupational therapy, speech therapy, osteopathy and sports therapy. With the acquisition of the practice group with around 50 practice locations, the APELOS Group now has over 100 locations with around 1,300 employees throughout Germany.

KPMG Law undertook the legal due diligence in connection with the refinancing of the group, as well as the comprehensive legal review and advice on the purchase of the approximately 50 practice locations. KPMG Law worked closely with KPMG’s tax advisors and Transactions Services team on tax issues and financial due diligence.

The KPMG Law partner responsible for advising APELOS Therapie GmbH was Dr. Ian Maywald (Corporate/M&A) from the Munich office. The team also consisted of Dr. Michaela Lenk (Corporate/M&A), André Giesen (Corporate/M&A), Nora Matthaei (labor law), Human Aghel (Real Estate), Philipp Augenstein (Corporate/M&A), Silke Neumann (labor law), Franciska Kieft (labor law), Kilian Baum (Corporate/M&A), Maren Jerebic (Corporate/M&A) and Annika Schmidt (labor law).

KPMG AG Wirtschaftsprüfungsgesellschaft: Partner Roman Meissner (Tax) and Martina Füchsl (Tax) provided support on tax issues. The Transactions Services team was led by partner Armin Pohl (TS) for the financial due diligence, supported by Paolo Bergamo (TS) and Thomas Weber (TS).
