KPMG Law and KPMG advise Wertgarantie Group on the sale of Agila

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law), KPMG LLP (KPMG Law UK) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) advised Aegidius Rückversicherung AGWERTGARANTIE Group on the sale of all shares in Agila Haustierversicherung AG to Pinnacle Pet Group in England, whose main shareholder is JAB Holding.

Agila is part of the Wertgarantie Group, headquartered in Hanover. The group of companies brings together various specialist insurers and guarantee service providers. More than seven million customers from seven European countries use the products of the insurance group, in which dogs and cats are insured in addition to household and consumer electronics, bicycles, e-bikes, e-scooters, smart home systems, hearing aids as well as house lines, especially at Agila Haustierversicherung AG. Agila employs over 80 people. The buyer is the Pinnacle Pet Group, headquartered in England, in which JAB Holding bundles its pet insurance business. JAB Holding has acquired the majority of shares in Pinnacle Pet Group.

As an investor, JAB Holding has already made several acquisitions in the field of animal insurance. In mid-June, JAB Holding announced the acquisition of Crum & Forster Pet Insurance Group and Pethealth Inc.

KPMG Law advised Wertgarantie Group on the structuring of the transaction, the Share Purchase Agreement, its negotiation and legal implementation. In doing so, KPMG Law worked with a cross-country and cross-location team primarily from the areas of corporate law/M&A, insurance law and employment law. KPMG provided financial and tax advice as well as financial and tax structuring.

With the acquisition, JAB Holding intends to expand the platform and portfolio of its animal insurance business and participations in Europe, in particular with the help of Agila in Europe. The transaction is still subject to approval by the relevant authorities, in particular in Germany and England.
