KPMG Law advises Novoferm on the acquisition of the Swedish Robust Group

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) advised Novoferm Germany GmbH on the acquisition of the Swedish Robust Group from the Scandinavian private equity investor Norvestor.

Novoferm is consistently expanding its position as a European system provider of door and gate solutions and loading systems: With the Swedish Robust AB, the Novoferm Group is taking over a steel door manufacturer based in Scandinavia and Great Britain and strengthening its own position on both markets in the long term. Robust AB, headquartered in Nykroppa, Sweden, operates production facilities in Sweden and England through its local subsidiaries, as well as a sales company in Norway. The Robust Group employs 175 people and specializes in the manufacture of fire doors, multifunctional doors and security doors for the industrial and commercial sectors. The acquisition is an important step for the continuous expansion of the Novoferm Group’s Europe-wide activities.

Novoferm has been part of the Japanese Sanwa Group (owned by Sanwa Holdings Corporation) since 2003. With over 3,000 employees in Europe, Novoferm offers door and gate solutions as well as loading systems for residential, commercial and industrial applications. Founded in 1955 in the Lower Rhine region, the company now manufactures at various locations in Europe and Asia and distributes products to many countries around the world via numerous national companies and sales partners.

KPMG Law acted as lead legal advisor to the transaction in close cooperation with its Swedish best friends law firm Cederquist. Legal due diligence in England and Norway was performed by KPMG LLP and KPMG Law Norway, both law firms in the KPMG Law network. KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) performed the tax and financial due diligence and provided tax advice.

The well-established KPMG/KPMG Law team already advised Novoferm on the acquisition of the Dutch company Alpha Deuren in 2014.
