KPMG Law Germany and Austria advise ZF Friedrichshafen on Tsetinis sale

KPMG Law in Germany and KPMG Law in Austria advised ZF Friedrichshafen AG on the sale of a majority stake in Ing. Tsetinis Beratungs GmbH to Efeso Consulting France SAS.

ZF Friedrichshafen AG, headquartered in Friedrichshafen, is one of the world’s largest automotive suppliers and ranks among the global leaders in the field of driveline, chassis and safety technology. The ZF Group is represented at 168 production locations in 32 countries and with 18 main development locations in eight countries.

The divested company is Ing. Tsetinis Beratungs GmbH is a management and strategy consulting company for the automotive industry. The buyer, Efeso Consulting, is a global consulting group focused on operational strategies performance improvement, has been active in the industrial sector for 40 years and supports its clients in the transformation towards sustainable operations at 35 offices worldwide.

In a first step, Efeso will acquire a majority stake in Tsetinis with a view to gradually taking over all the company’s shares in the coming years. During this time, the parties plan to continue their current cooperation. KPMG Law advised ZF Friedrichshafen AG on the negotiations of the share purchase agreement, a shareholders’ agreement and other contractual agreements.
