KPMG Law advises the MAHLE Group on the complete takeover of MAHLE Aftermarket Italy S.p.A. (formerly: Brain Bee S.p.A.)

KPMG Law Rechtsanwaltsgesellschaft mbH advised the MAHLE Group on the increase of its share in MAHLE Aftermarket Italy S.p.A. (formerly: Brain Bee S.p.A.), headquartered in Parma, from 80 to 100 percent. KPMG Law worked closely with the legal department of the MAHLE Group and the Italian law firm BonelliErede.

MAHLE Aftermarket Italy S.p.A. is an Italian-based specialist for automotive workshop equipment, whose subsidiaries in Spain and Germany MAHLE had already integrated into the Group in 2019 with the support of KPMG Law. The company’s portfolio includes air conditioning service, diagnostics, fluid management and exhaust gas measurement.

MAHLE is an international development partner and supplier to the automotive industry. In 2019, the Group generated sales of more than 12 billion euros with around 77,000 employees and has 170 production sites in more than 30 countries. MAHLE Aftermarket refers to the business unit within the MAHLE Group that specializes in spare parts.

In June 2018, MAHLE also increased its strategic investment in KPMG Law – under the leadership of Dr. Christian Hensel. MAHLE Aftermarket Italy S.p.A. from 20 to 80 percent. With the now complete acquisition, MAHLE is taking a further step towards becoming a solution provider and is significantly expanding its European presence in the area of equipment and services for workshops.

In the context of the transaction, KPMG Law provided legal advice in particular on the drafting, negotiation and execution of the share purchase agreement.
