KPMG Law advises somnOO and French PE group on acquisition of hotel portfolio

KPMG Law advised Swiss hotel owner & operator somnOO SA and French private equity funds RIVE, Extendam and 123IM on the acquisition of a hotel portfolio in North Rhine-Westphalia. The transaction was preceded by the constitution and funding of a complex acquisition structure.

With this transaction, somnOO, together with the French private equity consortium, has succeeded in entering the German hotel market, which the group sees as a prelude to further acquisitions outside its previous main investment country, France.

The deal was comprehensively legally structured and advised by KPMG Law, successfully combining the recognized expertise of partner Boris Schilmar and senior manager Maximiliane Prüm in cross-border M&A and the private equity segment with KPMG Law’s strong real estate practice led by Rainer Algermissen and Petra Swai. The firm also provided antitrust, employment and financing law advice. The decisive factor for the success was ultimately also the well-coordinated multidisciplinary advisory approach of the Big Four firm, which cooperates closely with KPMG colleagues from the Tax and Transaction Services divisions. In this way, legal, tax and financial due diligence could also be coordinated and offered from a single source for this transaction.
