KPMG Law advises the shareholders of Bauer und Trummer GmbH on the sale of business shares

KPMG Law Rechtsanwaltsgesellschaft mbH provided legal advice to the shareholders of Bauer und Trummer GmbH, based in Nuremberg, on the sale of all their shares in the company to the Midwich Group. Tax advice was provided by KPMG AG Wirtschaftsprüfungsgesellschaft.

Bauer und Trummer GmbH is a leading distributor of professional video and broadcast equipment and accessories in Germany. It specializes in the distribution of hardware and software for image, sound and film editing, especially for subtitling, dubbing, encoding, mastering and DVD creation.

Midwich Group Plc is one of the top 100 listed companies on the London Stock Exchange and specializes in the distribution of audio-visual media technology to the trade. In 2017, the Group generated sales of around 535 million euros with around 750 employees. The acquisition was made by Hamburg-based Kern & Stelly Medientechnik GmbH, a Midwich Group company.

The acquisition will enable Bauer und Trummer GmbH to expand its product portfolio and extend its international sales area.

In the context of the transaction, KPMG Law provided legal advice in particular on the drafting, negotiation and execution of the share purchase agreement and accompanying transaction documents. KPMG AG Wirtschaftsprüfungsgesellschaft advised on the tax aspects of the share purchase agreement.
