KPMG Law advises EPSA on acquisition of online trading platform PSG

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) advised the French marketplace investor Easy Purchase SA, or EPSA, on the acquisition of PSG Procurement Services GmbH, a German technology service provider in the field of procurement and eProcurement services.

EPSA is already a global specialist in external procurement since the acquisition of Experbuy in 2018 and consolidates its place worldwide with the acquisition of PSG, pioneer and leader in outsourcing procurement services via online platforms and tools in the German-speaking market. With more than 360 employees and a purchasing volume of over 500 million euros, EPSA Market Place now assumes a central role in the market as a provider of digital and operational tail spend, marketplace and purchasing outsourcing solutions.

The deal was comprehensively legally structured and advised under the leadership of KPMG Law Partner Boris Schilmar and Senior Manager Sebastian Stöhr. In addition, the firm also provided antitrust, labor and IT law advice to its client EPSA. The IP aspects of the transaction were handled by the boutique law firm Greenfield IP.

Ultimately, the key to success was also the well-established multidisciplinary advisory approach of KPMG Law, which cooperates closely with the staff of KPMG AG Wirtschaftsprüfungsgesellschaft from the Tax and Deal Advisory divisions. Legal, tax and financial due diligence could thus be coordinated and offered from a single source.
