KPMG Law advises on the sale of metaphacts to DS Digital Science

Nuremberg, January 23, 2023

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) advised the shareholders of metaphacts GmbH on the sale to DS Digital Science GmbH. KPMG Law worked closely with the tax experts at KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG).

metaphacts is a German-based software company that enables its customers to improve their own data literacy in order to make business decisions on a sound basis, based on a proprietary knowledge graph platform.

DS Digital Science was founded in 2010 with the goal of providing a trusted software ecosystem to both academic and industrial research institutions, researchers. Today, DS Digital Science holds a software portfolio for its customers ranging from tools for optimizing research workflows to data analysis.

KPMG Law had previously provided ongoing legal advice to metaphacts, including in relation to employee shareholdings and restructuring. In the context of the current sale, KPMG Law provided comprehensive legal advice on the drafting and negotiation of the contract underlying the transaction. KPMG provided tax advice on the transaction.
