KPMG Law advises weclapp founders on sale to Exact Group

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) advised the founder and CEO Ertan Özdil on the sale of weclapp SE, based in Frankfurt am Main, to Exact Germany Bidco GmbH, based in Cologne. The closing, which provides for the founder and CEO Ertan Özdil to take a reverse stake in Exact Group, took place on September 30, 2022.

According to weclapp, the company is one of the leading providers of cloud ERP (Enterprise Resource Planning) software. The buyer is the Exact Group in the Netherlands, a portfolio company of the financial investor KKR. The sellers are 3U Holding AG and the management of weclapp. KPMG Law provided comprehensive advice to founder and CEO Ertan Özdil in connection with the sale. In particular, the advice related to the negotiation and adaptation of the sale documentation as well as the documentation on the complex re-investment over several levels in different jurisdictions.
