KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) provided comprehensive legal advice to Epitype GmbH, a company of the Dresden-based MDG Group, on the formation and subsequent acquisition of significant assets of oncgnostics GmbH.
oncgnostics GmbH is a biotechnology company based in Jena, Germany, specializing in the development and marketing of innovative in-vitro diagnostic tests. The company has been developing molecular biological tests for the early and precise detection of gynecological cancers, in particular cervical cancer, for over 13 years. The internationally approved diagnostic tests are currently marketed in Europe and Asia.
As part of a structured investor process in the course of the insolvency proceedings of oncgnostics GmbH, Epitype GmbH has taken over the patents, the production facility in Jena and the employees. This means that the expertise in the field of molecular biological diagnostics will be retained in Germany and will be further developed in the future through integration into an experienced biotechnology group.
As part of the transaction, the KPMG Law team provided legal advice to the buyer side, including the formation of the buyer company, employment law advice on the transfer of employees, the legal structuring of the asset deal, the drafting and negotiation of transaction-related documents and support until the successful closing.
