KPMG Law Rechtsanwaltsgesellschaft (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) advised Groupe CAT on comprehensive restructuring measures with a cross-service team.
Over a period of more than two years, KPMG Law and KPMG implemented a large number of complex reorganization measures and thus supported the German part of Groupe CAT in its corporate and strategic realignment. Throughout the entire process, Groupe CAT was supported by teams of KPMG Law lawyers from the Corporate/M&A and Employment Law departments and a KPMG tax advisory team.
Groupe CAT (Compagnie d’Affrètement et de Transport) is a French group in the automotive logistics sector with more than 6,000 employees and activities in 27 countries. Groupe CAT has been active in the field of vehicle logistics for decades, with Germany acting as a central link within the international network.
The realignment of the German part of the group involved a series of complex legal transformation processes, including mergers, contributions, spin-offs and carve-outs. KPMG Law managed the legal implementation and, in particular, coordinated the corporate law processes and their employment law implications, while KPMG was responsible for the tax structuring. The measures were aimed at reorganizing the German companies and creating a sustainable structure under the term “ONE Company – CAT Germany”.
