KPMG Law advises MAHLE on acquisition of majority stake in diagnostics specialist Brain Bee

KPMG Law Rechtsanwaltsgesellschaft mbH has advised the MAHLE Group on the increase of its share in Brain Bee S.p.A., based in Parma, from 20 to 80 percent. KPMG Law worked closely with the legal department of the MAHLE Group and the Italian M&A law firm Lombardi Segni e Associati.

Brain Bee is an Italy-based automotive workshop equipment specialist with subsidiaries in Spain and Germany. The company’s portfolio includes air conditioning service, diagnostics, fluid management and exhaust gas measurement.

MAHLE is a leading international development partner and supplier to the automotive industry. In 2017, the Group generated sales of around 12.8 billion euros with around 78,000 employees and has 170 production sites in more than 30 countries. MAHLE Aftermarket, the business unit within the MAHLE Group specializing in spare parts, has been working with Brain Bee for years in the development and production of workshop equipment.

Back in September 2017, MAHLE-also lead advised by Dr. Christian Hensel-acquired a strategic minority stake of 20 percent in Brain Bee. With the majority shareholding now acquired, MAHLE is taking a further step towards becoming a solution provider and is significantly expanding its European presence in the area of equipment and services for workshops.

In the context of the transaction, KPMG Law provided legal advice in particular on the exercise of an existing call option and on the drafting, negotiation and execution of the share purchase agreement.
