KPMG Law advises Würth on acquisition of copaltec business operations

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) provided legal advice to the Würth Group on the acquisition of the assets of the insolvent copaltec GmbH by Kisling (Deutschland) GmbH.

Kisling was founded in 1862 and has been part of the globally active Würth Group for more than 40 years. Kisling is a manufacturer of high-quality adhesives, sealants and potting compounds for almost all industries, OEM manufacturers and the specialized trade. Kisling’s headquarters are located in Wetzikon in the Swiss canton of Zurich. The German subsidiary Kisling Deutschland GmbH is located in Niedernhall, near Würth’s headquarters in Künzelsau.

Böblingen-based copaltec is a technology company in the field of highly thermally conductive polyurethane casting compounds and pastes. The potting solutions are used in the fields of e-mobility, (power) electronics and battery technology, among others.

Kisling acquired the business operations of copaltec by way of an asset deal with a purchase agreement dated March 1, 2022. The sale was carried out by the insolvency administrator of copaltec. As a result of the integration into the Kisling Group, the location in Böblingen and the jobs will be retained.

KPMG Law, together with the in-house experts of the Würth Group, provided legal advice on the drafting and negotiation of the contractual framework underlying the transaction.
