KPMG Law and KPMG advise Smile Group on the acquisition of Creativestyle

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law), KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) and KPMG Poland provided due diligence, structuring and implementation services to Smile Group in connection with the acquisition of a majority stake in Creativestyle GmbH with its Polish subsidiary Creativestyle Poland SP. z o.o. advised.

The French Smile Group as part of the portfolio of Keensight Capital and Eurazeo PME has acquired the majority of shares in Creativestyle GmbH. KPMG Law and KPMG Legal Poland conducted a legal due diligence, advised on the structuring of the transaction, the share purchase agreement and its legal implementation. In doing so, KPMG Law worked with an international, cross-location team primarily from the areas of corporate/M&A, labor law and antitrust law. KPMG and KPMG Poland advised on tax due diligence and tax structuring.

Smile Group is a provider of open digital and open source solutions in the areas of consulting, innovation, digital integration and infrastructure. It operates mainly on the European market and is involved in a large number of digital projects each year for French and European clients. The majority shareholder of Smile Group is Keensight Capital, a private equity manager specializing in pan-European growth buyout investments.

Headquartered in Munich with additional offices in Hamburg, Krakow and Rybnik, Creativestyle is a digital agency with a team of 85 employees providing services in the areas of consulting, backend integration, operations and customer experience of e-commerce solutions. The current management will continue to run the business of the Creativestyle companies in the future.
