KPMG Law and KPMG advised Zollner Elektronik on the acquisition of the Bluechips Microhouse Group

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) advised Zollner Elektronik AG on the acquisition of all shares in Bluechips Microhouse Co., Ltd. from the Zimpfer family and of assets from the Bluechips Group companies in Hong Kong, France and Germany. Bluechips Microhouse Co. Ltd. is a German family-owned electronic manufacturing services (EMS) company based in Chiang Mai, Thailand, with subsidiaries in France and Germany and another group company in Hong Kong. The share transfer will be completed in two steps: Zollner Elektronik AG will initially hold a minority stake in Bluechips Microhouse Co Ltd; the remaining shares will be transferred next year. KPMG Law provided comprehensive advice on the structuring of the transaction, the legal due diligence and the preparation and negotiation of the acquisition documentation. KPMG Law worked together in an international team consisting of law firms from its own international network and its partner network. KPMG Law Thailand and KPMG Law France advised on all matters of local law. Zhong Lun Law Firm, the partner law firm of KPMG Law in Hong Kong, advised on all matters of Hong Kong law. Tax advice and structuring as well as advice on all financial issues were provided by international teams from the global KPMG organization.
