KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) provided comprehensive legal advice to Controlware Holding GmbH on the sale of Productware-Gesellschaft zur Produktion von elektronischen Geräten mbH (Productware) to GBS Electronic Solutions GmbH (GBS). KPMG Law worked closely with the Deal Advisory M&A team of KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG AG). The transaction was successfully completed in January 2026.
Productware is a provider of electronic manufacturing services (EMS) and manufactures electronic assemblies and complete devices with high-end assembly lines for industrial customers from various sectors. Productware covers all steps from development and series production to testing and logistics processes.
The GBS Group is a full-service EMS provider along the entire value chain and has been supported by VR Equitypartner, a German investor for medium-sized companies in the German-speaking economic area, since 2016. With this acquisition, the GBS Group aims to strengthen its position in the German EMS market.
KPMG Law provided legal support during the sales process, drafted and negotiated the transaction documents, handled merger control issues and assisted with the signing and closing of the transaction.
