Transgourmet enters beverage business with KPMG Law

KPMG Rechtsanwaltsgesellschaft mbH (KPMG Law) advises Transgourmet Deutschland GmbH & Co. OHG on the acquisition of Team Beverage AG and the launch of a joint venture with Nordmann Unternehmensgruppe GmbH. The aim is to establish the largest purchasing and distribution platform in the German beverage wholesale sector.

Transgourmet acquires a majority stake in Team Beverage AG, Wildeshausen, and holds 70 percent after the acquisition. Nordmann Unternehmensgruppe GmbH retains 20 percent and Brau Holding International GmbH & Co. KGaA 10 percent of the shares.

With its network of 36,000 distribution points, mandated system sales of more than 1.4 billion euros, and a brokered returnable beverage volume of more than eleven million hectoliters, Team Beverage AG is one of the leading distribution, purchasing, marketing, and service platforms in the beverage industry in Germany. Transgourmet is a specialist in supplying bulk consumers in the hotel, catering, corporate catering and social services sectors. With over 35,000 customers, more than 3,700 employees and around 1.3 billion euros in sales, Transgourmet is one of the leading companies in this segment. With the planned platform, the company from Riedstadt near Darmstadt will also take one of the leading positions in the German beverage market from a standing start.

The cooperation between important market participants made the mandate not only demanding in terms of corporate law, but also posed a challenge in terms of antitrust law. The acquisition of the shares will be retroactive to January 1, 2017 and is still subject to the approval of the relevant antitrust authorities. The mandate has been running since December 2016.
