KPMG Law advises DEUTZ on the acquisition of Pro Motor

A team of lawyers from KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law), Germany, Buchberger Ettmayer Rechtsanwälte GmbH (KPMG Law Austria), Austria and KPMG Legal s.r.o. advokátní kancelář, Czech Republic, provided comprehensive legal advice to DEUTZ AG on the acquisition of the operating companies of the Pro Motor Group in Austria and the Czech Republic. Following antitrust clearance, the transaction was completed on October 1, 2020.

DEUTZ AG, a listed company based in Cologne, Germany, is a global manufacturer of innovative drive systems. Its core competencies are the development, production, sales and service of diesel, gas and electrified drives for professional applications.

The Pro Motor Group distributes professional drive systems and offers corresponding services, with a focus on the DEUTZ AG product range. The part of the group acquired by Pro Motor Beteiligungsgesellschaft mbH, based in Vienna, includes Deutz Austria GmbH and Motorcenter Austria GmbH in Austria and Pro Moter Servis CZ s.r.o. in the Czech Republic.

With the acquisition of the operating companies of Pro Motor, DEUTZ AG is strengthening its distribution and service offering of the DEUTZ engine brand in Austria, the Czech Republic, Slovakia, Hungary, and Slovenia.

In the context of the transaction, KPMG Law provided comprehensive advice to DEUTZ AG, from conducting the due diligence and drafting the underlying transaction documents to applying for antitrust clearance, thus once again demonstrating its expertise in international transactions.

KPMG Law worked closely with experts from KPMG AG Wirtschaftsprüfungsgesellschaft, who provided commercial advice (in particular financial due diligence), and from KPMG Law Austria, who provided tax advice.
