KPMG Law and KPMG assist Questel in the acquisition of NovumIP

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) jointly advised Questel Germany Holding GmbH on the acquisition of No-vumIP GmbH & Co. KG from Paragon Partners GmbH.
NovumIP was formed through the merger of Pavis and Novagraaf, two providers of services in the field of IP management, particularly in patent and trademark law.

The company, which employs more than 330 people worldwide, offers its clients a range of consulting, management and technology-based services in the field of IP.

Questel Group is a provider of end-to-end intellectual property solutions to more than 6,000 customers and 1 million users in 30 countries. It offers a software suite for searching, analyzing and managing inventions and IP assets. With the acquisition, Questel is pursuing the expansion of its portfolio of offerings.

Questel is acquiring Novum IP from Paragon Partners. In this context, Paragon Fund III will in turn participate in Questel as a minority shareholder. The closing of the transaction is subject to approval by the relevant financial supervisory and antitrust authorities and is expected to take place around July 2021.

KPMG Law provided comprehensive advice on the entire due diligence process in Germany, Belgium, France, the Netherlands, Switzerland and the United Kingdom. KPMG provided tax advice and structuring of the transaction as well as tax due diligence.
