KPMG Law and KPMG advise LOVE & Food Restaurant Holding s.r.o. on restructuring of Vapiano Group

KPMG Law Rechtsanwaltsgesellschaft mbH (KPMG Law) and KPMG AG Wirtschaftsprüfungsgesellschaft (KPMG) have advised LOVE & Food Restaurant Holding s.r.o. in close cooperation on the legal and tax aspects, respectively, of the cross-border restructuring of the Vapiano Group.

LOVE & Food Restaurant Holding s.r.o., a Czech company based in Prague, acquired various assets of the Vapiano Group, in particular the shares in its German companies, following the opening of insolvency proceedings against the assets of Vapiano SE. The Vapiano Group operates restaurants worldwide under the “Fresh Casual Dining” concept. After acquiring the assets from the Vapiano Group, LOVE & Food’s goal was to restructure the group and make better use of synergies. In particular, cross-border mergers of German companies into Czech companies were planned for this purpose.

KPMG Law provided legal advice, structuring and support for the cross-border mergers and the measures required for this, prepared the underlying documentation and coordinated the restructuring from a legal perspective with all parties involved in Germany and abroad.

As part of the tax advice and structuring, KPMG developed the target structure of the Vapiano Group and the individual steps to achieve it, and coordinated the entire restructuring from a tax perspective with all parties involved in Germany and abroad.

Particular attention was paid to the cross-border situation and the resulting legal and tax requirements as well as the increased need for communication and coordination with the Czech legal and tax advisor colleagues.

Falko Fiedler, a partner at KPMG, has been providing tax advice to the Vapiano Group and its shareholders for many years and established contact with KPMG Law on this basis.
