KPMG Law advises Schattdecor on negotiations for Chinese-German joint venture

KPMG Law Rechtsanwaltsgesellschaft mbH advised Schattdecor AG, on the negotiation and conclusion of a Chinese-German joint venture with its Chinese partner Dongguan Puibright Decorative Material Co. Ltd.

The family-owned company Schattdecor from Thansau near Rosenheim is a surface specialist and, with more than 2,300 employees, the world market leader in decor printing. The company specializes in the production of printed, impregnated and lacquered decorative paper worldwide.

Schattdecor and the Chinese partner have been acting as partners in the joint venture Huanggang Saintdecor Co. Ltd. based in Hubei province since the end of March 2017. With the merger and the expansion of its impregnation capacities, Schattdecor is pursuing the goal of offering a complete range in all markets and establishing a leading role in the Asian market as an international impregnator. In September 2018, an adjustment was made to the joint venture structure, which in turn was implemented as part of a global investment and growth program by Schattdecor. The globally active surface specialist Schattdecor has also been successful in the Chinese market for a long time. The joint venture strengthens Schattdecor AG’s market position and presence in Asia.

The negotiations were comprehensively managed by a team led by partners Boris Schilmar and Sebastian Stöhr. Schilmar has been advising the Schattdecor Group on M&A transactions for many years. In the negotiations with the Chinese joint venture partner, Schilmar was able to contribute its many years of expertise in assisting with M&A transactions in the German-Chinese corridor and also draw on the global network of KPMG Law.
